1. Introduction
Welcome to Redrock Reputation Limited (also referred to as "Redrock Rep," "we," "us," or "our"). By using our services, you ("the Customer") agree to these Terms and Conditions. Please read them carefully before proceeding.
2. Definitions
For the purposes of these Terms and Conditions:
Customer: Refers to the individual or business entity subscribing to Redrock Rep's services.
Services: Refers to the subscription-based review management services provided by Redrock Rep, including tools to collect reviews, reply to reviews, and integrate reviews via a website widget.
Account: Refers to the Customer's account registered with Redrock Rep at the point of sale.
Subscription Fees: Refers to the recurring monthly fees for the Services.
Set Up Fees: Refers to the one-time fees that the customer agrees to pay for setup of service, including all merchandise agreed to in the sales form.
Billing Date: Refers to the date on which recurring subscription charges are processed.
Applicable Laws: Refers to all laws and regulations governing the use of our Services, including but not limited to the Consumer Code (Legislative Decree No. 206 of 2005) and Regulation (EU) 2016/679 (GDPR).
Malice or Gross Negligence: Refers to intentional misconduct or reckless disregard for the consequences of an action that causes harm.
Third Party Errors: Refers to errors or issues caused by external providers, platforms, or entities not under the direct control of Redrock Rep.
3. Services Provided
We offer subscription-based review management services, including tools to collect reviews, reply to reviews, and a website widget to display online reviews on the customer's website.
4. Registration and Account Setup
Customers register accounts through our sales team at the point of sale. Registration requires the following information:
Business name
Business address
Customer point of contact (email)
Customer's main contact name
5. Payment and Billing
Accepted payment methods: Visa, Mastercard, Amex, bank transfer, or direct debit.
Billing includes a recurring monthly fee and a one-off setup fee. By subscribing to our Services, the Customer agrees to be charged the monthly subscription fee on a recurring basis until the subscription is canceled.
Setup fee and monthly subscription fees are non-refundable.
Customers may cancel their subscription at any time before the next billing date to avoid further charges.
6. Usage and Compliance
The Customer agrees to use the Services in compliance with all applicable laws, including but not limited to:
Consumer Code (Legislative Decree No. 206 of 2005) regarding commercial practices.
Regulation (EU) 2016/679 (GDPR) concerning data protection.
Relevant intellectual property, image rights, and e-commerce legislation.
7. Limitation of Liability
Redrock Reputation Limited (Redrock Rep) is only liable for damages resulting from malice or gross negligence directly caused by our actions, to the fullest extent permitted by law.
We are not liable for any indirect, incidental, or consequential damages, including but not limited to loss of profits, reputation, or data.
We are not responsible for:
Damages from misuse of our services or third-party errors.
Issues arising from external platforms or services we do not control.
Any loss or damage resulting from the unavailability, security vulnerabilities, or inaccuracies of our services.
Our services are provided "as is" without any warranties, express or implied. Redrock Rep disclaims all implied warranties, including those of merchantability or fitness for a particular purpose.
If you're dissatisfied with our services, your sole remedy is to stop using them.
Our total liability to you is limited to the amount you paid to us for services in the 12 months preceding the event causing the damage, or £200, whichever is greater. We are not liable for any indirect, consequential, special, or punitive damages.
8. Data Collection and Privacy
Redrock Rep complies with UK privacy laws. Customer data will not be shared with third parties or used for marketing purposes.
9. Communication
Customers will be contacted via email for account-related inquiries and may receive marketing messages.
10. Termination
We may terminate the agreement if the Customer fails to meet the Terms and Conditions.
The Customer may cancel their subscription at any time before the next billing cycle if they do not want to be charged for the following month.
If the customer does not cancel, they will automatically be charged their subscription fee for the following month.
11. Dispute Resolution
Disputes will be resolved under the jurisdiction of UK laws.
12. Changes to Terms
We reserve the right to modify these Terms and Conditions at any time. Customers will be notified of changes via email.
